What is the merger?
On October 23, 2019, Venus Concept Ltd. completed its previously announced business combination with Restoration Robotics, Inc. (“Restoration Robotics”). As a result of the merger, Venus Concept Ltd. became a wholly-owned subsidiary of Restoration Robotics. At the effective time of the merger, Restoration Robotics changed its name to Venus Concept Inc.
What happened to my Venus Concept Ltd. shares?
At the effective time of the merger, each ordinary share of Venus Concept Ltd. and each preferred share of Venus Concept Ltd. was converted into the right to receive 8.6506 shares of Restoration Robotics common stock..
What happened to my Venus Concept Ltd. options?
At the effective time of the merger, each outstanding and unexercised option to purchase ordinary shares of Venus Concept Ltd. was assumed by Restoration Robotics and was converted into an option to purchase shares of Restoration Robotics common stock, with necessary adjustments to reflect the exchange ratio.

All shareholders of Venus Concept Ltd. at the time of the merger should have received a Letter of Transmittal from I.B.I Trust Management, which is acting as Venus Concept Ltd.’s Exchange Agent.
